Seeking membership approval of proposed
changes to bylaws
Dear Member of the
Canadian Society of Microbiologists,
The current ministerially
approved version of the CSM/SCM Bylaws dates back to
1990. Almost two years ago, the executive took upon
itself the task of going through all the previous
revisions, using the 2004 revision made by former
president Susan Koval, as the main working document.
The CSM Executive is now seeking your approval to
update them. The proposed changes have been
developed through considerable efforts of Michael
Hynes, Susan Koval, Louise Nelson, Trevor Charles,
Peter Krell and a number of other members. We thank
them for their important contributions to this
initiative.
The proposed modifications have
been posted on our website since June 2010, and members have
been solicited for friendly amendments. Relevant documents
and details on the process and timelines are posted below.
Please find a copy of the revised
bylaws here.
You are asked to vote your approval
of these bylaws by emailing the CSM secretariat
with the message header APPROVE
BYLAWS.
If you disagree with the
modifications email the CSM Secretariat with the
header DO NOT APPROVE BYLAWS Members will be advised
of the result at the Annual General Meeting.
The deadline for tendering your vote is March 15th, 2011.

The current ministerially approved version of the CSM/SCM Bylaws dates back to 1990. There have been several attempts since then to revise the Bylaws, as they were out of date and did not reflect the current organization of the Society, or its customary procedures. One revision of the by-laws was approved by mail ballot of the membership in 2004, but as far as we can tell, due to Lynn Anderson's untimely death, this version did not proceed to Ministerial Approval, which is required by the Bylaws. Almost two years ago, the executive took upon itself the task of going through all the previous revisions, using the 2004 revision made by former president Susan Koval, and approved by ballot, as the main working document. We now have another revised set of Bylaws suitable for the current state of the society, as well as future developments such as electronic communication and voting. The "official" ministerially approved version from 1990 (still the only legal version), the former (2004) version approved by the membership, and the proposed revised versions are posted here for your review. The major changes from the 2004 version to the new version are highlighted in yellow and address things such changes in voting procedures (electronic ballot), indemnification of officers, and changed roles of officers and committees. Other changes, not highlighted, were minor and editorial (eg. consistent naming of conference, AGM, society, officers etc.). Note that originally, only the 1990 and proposed new versions were posted here.
